Welcome to Spree. These Terms of Service (the "Terms") form a binding legal agreement between you and Spree Technologies, LLC, an Arizona limited liability company ("Spree," "we," "our," or "us"), and govern your access to and use of the Spree mobile application, the website at spree-app.com and related domains, and all related services, features, content, and functionality we offer (collectively, the "Services").
By creating an account or otherwise accepting these Terms, you agree to be bound by them. Our Privacy Policy explains how we collect, use and disclose information. Acceptance of these Terms does not replace any separate consent required for location sharing, marketing or another optional activity. If you do not agree to these Terms, do not access or use the Services.
Please note: Sections 20, 21, and 22 contain an arbitration agreement and explain how individual proceedings and jury trials are affected. Section 20.7 explains your right to opt out of arbitration.
1. Eligibility and Age Verification
The Services are intended exclusively for individuals who are at least twenty-one (21) years of age. By accessing or using the Services, you represent and warrant that:
- You are at least 21 years old;
- You have the full legal capacity and authority to enter into a binding agreement;
- You are not barred from using the Services under the laws of the United States, the State of Arizona, or any other applicable jurisdiction; and
- All information you provide to us, including any information used to verify your age or identity, is true, accurate, and complete.
We reserve the right to request additional verification of your age or identity at any time and to suspend or terminate accounts that we believe, in our sole discretion, do not meet these requirements. The Services are not directed to, and we do not knowingly collect information from, individuals under 21.
2. Account Registration and Security
To access certain features of the Services, you must create an account. Provide the contact information requested during registration. Consumer sign-in generally requires a valid mobile telephone number that you control. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information, including your email address and phone number; (c) maintain control of the phone number and device used to receive the one-time passcodes that authenticate your account; and (d) use reasonable care to prevent unauthorized use of your account.
You agree to notify us immediately at hq@spree-app.com of any unauthorized access to or use of your account. You are responsible for activity you authorize and for your failure to take reasonable care of your credentials; this does not excuse Spree from its own obligations or limit rights you may have concerning unauthorized transactions.
Consumer sign-in generally uses a one-time passcode. Business and staff access may use different authentication methods. Do not share sign-in codes or staff credentials. A group or business role does not authorize access to another person's account.
The app may limit an account to one active phone session. Signing in on another phone can end the earlier app session and its active location sharing. Browser and authorized business sessions may be managed separately. Contact support if a phone number or other account detail cannot be changed through the available settings.
3. The Services
Spree is a nightlife discovery, social planning, and ticketing platform. Depending on availability, the Services include:
- A map and directory of venues, including directory listings and participating Spree Verified venues;
- Event discovery, public event pages, guestlists, and free or paid event tickets;
- Friends, profiles, groups, invitations, private plans, plan chat and photo sharing;
- Optional, time-limited location sharing with eligible participants in a particular plan;
- Digital passes, fast passes, bundles, table purchasables and tickets (collectively, "Purchasables");
- Table and bottle service reservation requests;
- QR-code passes, check-ins, and the SpreeTag wallet;
- SpreePoints, rewards, referrals and Spree Live Specials; and
- Tools for authorized organizers, co-organizers, promoters, venues, door staff and Spree administrators.
Some listings and features do not support purchases. A directory listing does not establish a commercial relationship with Spree. A Spree Verified designation indicates a participating relationship, not a guarantee of safety, quality, availability or admission. Features may vary by venue, event, account role and location.
3.1 Events
The event listing identifies the event's organizer and participating venue or venues. Merely listing, promoting or processing tickets for an event does not mean Spree organizes or operates it.
Spree Events. A "Spree Event" is an event expressly identified as organized, hosted or produced by Spree. For these events, Spree is responsible for its own organizing activities and the ticket sale, while the applicable venue remains responsible for its premises and venue operations, including alcohol service.
Other Events. Other events are organized by the venue, organizer or other party identified in the listing. That party is responsible for organizing and delivering the event, and Spree provides the platform and payment services described here. Co-organizers, promoters and venues may participate in an event without each being its organizer.
Free tickets are subject to the applicable admission, validity and conduct rules. No payment or refund is due for a ticket issued at no charge. Creating or joining a private plan, responding to a plan invitation, or adding an event to a plan does not buy a ticket, reserve capacity or establish admission. Obtain any required ticket or reservation separately.
3.2 Spree Is a Technology Platform
Except for Spree's own organizing activities for identified Spree Events, we do not own, operate, control, manage or staff the venues or third-party events listed in the Services. Venues, hosts, and promoters are independent third parties solely responsible for their own operations, policies, staffing, compliance with applicable laws, and the quality, safety, and delivery of any product or experience.
Even where Spree is the seller of record for a Spree Event, that event takes place at a venue that Spree does not own, operate, or control. The venue is responsible for its premises, venue staff, admission controls and alcohol service. This allocation does not exclude responsibility for Spree's own acts or omissions.
Spree does not sell, serve, furnish, or deliver alcohol. Any alcoholic beverage associated with a Purchasable, reward, or promotion is sold, served, and fulfilled solely by the applicable licensed venue, subject to that venue's own policies and applicable law, including identification checks and responsible service requirements. Amounts paid or reimbursed in connection with any alcoholic beverage are remitted to the licensed venue.
3.3 Groups, Plans, and Invitations
Groups have a leader, admins and members. The leader manages leadership and administrative roles and the available group permissions. Admins may manage group details and remove members within their assigned permissions. Members may invite others or call a night out according to the group's settings. Group roles do not grant Spree staff privileges or access to someone's private location.
An invitation remains pending until accepted. An invited person may see a limited preview, including the group name, cover, inviter and a preview of existing members, but acceptance is required to access the group's plans and chats. Joining a group gives access to its available existing plans and plan chats, including earlier messages. Consider future membership changes before posting private information.
Leaving or removal ends access to the group's private plans and chats. It does not recall copies already received by others or automatically erase everything previously contributed. A leader who leaves transfers leadership through the available process. When no eligible members remain, a group may be archived. Group membership and plan participation do not themselves create an event ticket, a venue booking or live-location consent.
3.4 Optional Location Sharing
Location sharing is optional and specific to a plan and its permitted sharing period. Joining a group, accepting an invitation, obtaining a ticket, scanning a pass, or granting the app general location permission does not by itself turn on plan location sharing.
When you actively share, eligible participants in that plan who are also sharing may see your latest available location and when it was updated. Group leaders and admins do not receive additional location access because of their role. Sharing with one plan does not authorize sharing with another.
On supported iOS devices, active sharing may continue while the app is in the background or your phone is locked if you grant the required background location permission. Android sharing currently updates only while the app is in the foreground. A scheduled share begins when its start time has arrived and you next open or use the app with the required permissions; scheduling does not independently wake a closed app. Device settings, connectivity and operating-system limits can delay or prevent updates.
You can stop sharing in the plan or withdraw device permission. Sharing access also ends when the applicable sharing period or plan ends or your participation becomes ineligible. Blocking restricts location visibility between the affected accounts. These controls cannot erase screenshots or information another person has already recorded. Location sharing is not an emergency, rescue, supervision or personal-safety service; do not rely on it to establish anyone's safety or exact position.
3.5 Authorized Business and Staff Use
If you use a venue, organizer, co-organizer, promoter, scanner or administrative account, you must have authority to act in that role and for the relevant business. Access is limited to the organizations, venues, events, records and actions assigned to you. Do not use multiple roles to circumvent those limits, share staff credentials, or access, export or disclose customer information for unrelated purposes.
Use customer information only for authorized event, admission, reservation, transaction, support and other disclosed operational purposes, and comply with applicable privacy and marketing requirements. Access to a customer record is not consent to send that person marketing. Separate partner, organizer, promoter or payment agreements govern commercial settlement, commissions, payout allocations and recovery rights where applicable. If a separate signed business agreement conflicts with these Terms concerning commercial arrangements, that agreement controls those arrangements.
4. Purchasables, Tickets, and Payments
4.1 Merchant of Record and Venue Responsibility
Every Purchasable and ticket sold through the Services is charged to Spree's own payment account, and Spree is the merchant of record for that transaction. Your payment through the Services discharges your payment obligation for that Purchasable in full, whether or not Spree has remitted the corresponding amount to the venue. Spree retains the disclosed service fee and any platform fee agreed with the applicable business. Net proceeds may be allocated among the venue, organizer, co-organizers or other authorized beneficiaries under their commercial agreements. Those allocations do not change the amount shown to you at checkout.
Except with respect to Spree Events, the venue or organizer identified in the listing provides the goods, services or admission associated with a Purchasable and is responsible for fulfilling its offering. Spree provides the platform and payment services; the identified provider fulfills the offering. Sections 4.5 and 4.6 apply if a purchased offering cannot be provided.
Alcohol. With respect to any alcoholic beverage associated with a Purchasable, reward, promotion, or reservation, the licensed venue is the seller. Where a Purchasable includes an alcoholic beverage and Spree collects an amount attributable to it, Spree collects that amount solely as the venue's collection agent and remits it to the venue. For rewards, Spree Live Specials, and bottle service reservations, Spree collects no amount for any beverage, and you pay the venue directly at its premises. Spree does not sell, serve, furnish, or deliver alcohol, and no amount retained by Spree is consideration for alcohol.
For Spree Events, Spree is the seller of record for the ticket only. Venue responsibilities and Spree's own responsibilities are described in Sections 3.2 and 11.
Prices, availability and offer terms may change before purchase. A later price change does not change the amount of an existing order. Changes affecting a purchased offering are addressed under Sections 4.5 and 4.6. We may impose limits on Purchasables, including caps on the number sold per venue per night, per event, or per user.
4.2 Service Fee
Spree may charge a service fee for use of the Services. Where we display a price for a live-event ticket, the displayed total includes mandatory service fees and other mandatory charges, except government-imposed taxes and other charges that applicable law permits to be excluded. Any permitted exclusions, optional additions and the final amount payable are disclosed before you authorize payment. The checkout total is the amount you authorize us to charge.
The service fee is retained by Spree and is separate from the venue or organizer's proceeds. Refund treatment is described in Sections 4.5 and 4.6.
4.3 Payment Processing
Payments are processed by third-party payment processors, including Stripe, Inc. ("Stripe"). Charges are made to Spree's platform account and may appear on your card or bank statement as Spree. Participating businesses may receive proceeds through Stripe Connect under their applicable settlement arrangements. Spree bears the processing costs associated with your transaction. Additional payment-provider terms may apply where presented to you. We do not store your full payment card information. You represent that you are authorized to use any payment method you provide.
4.4 All Sales Final
All completed sales are final, except for the refunds and resolutions described in Sections 4.5 and 4.6 or required by law. Changing your mind, not attending, buying the wrong item or allowing an item to expire does not automatically entitle you to a refund. A fast pass provides the benefit described in the offer; it does not guarantee immediate entry or that a general admission line will exist when you arrive.
Admission and service remain subject to lawful venue requirements, including age and identification checks, dress code, responsible alcohol service, safety rules and any arrival deadline disclosed before purchase. A venue may refuse admission or service for a lawful reason. Refusal because you do not meet these requirements generally does not entitle you to a refund. Purchasing a pass never requires a venue to exceed legal capacity or serve alcohol unlawfully.
If you comply with the disclosed requirements but the venue is closed, cannot honor your valid item or cannot provide the purchased admission because of capacity or another operational problem, contact us under Section 4.6. The venue's right to refuse entry does not, by itself, determine whether you are entitled to a refund.
4.5 Cancelled Events
If an event is cancelled, tickets purchased through Spree will be refunded to the original payment method, including buyer-paid Spree service fees. If a postponed event is later cancelled or no replacement date is announced within a reasonable period, we will treat it as cancelled for refund purposes.
For a postponed or rescheduled event, tickets ordinarily remain valid for the replacement date. A change does not automatically create a refund right unless applicable law or the disclosed offer terms require one. If the event's date, location or advertised headline performer changes materially, you may ask us to review your purchase. Spree may offer a refund request window or another appropriate resolution based on the circumstances and the organizer's arrangements. We will communicate any applicable window and conditions. Minor schedule or lineup adjustments ordinarily do not qualify.
4.6 Refunds and Chargebacks
To request help, email hq@spree-app.com with your order or pass details, the event or venue, and a description of the problem. Contact us as soon as reasonably possible so we can check the circumstances and available records. Do not send full card details or sign-in codes. We may request reasonable supporting information and consult the venue, organizer or payment provider.
Payment errors. If we confirm a duplicate charge, an incorrect excess charge, or a payment for a purchase that was not completed and for which no valid item was issued, we will refund the duplicate, excess or unfulfilled amount, including the corresponding buyer-paid Spree fees. We may first verify a payment's status or whether a valid purchase was delivered. A temporary authorization hold is different from a completed charge.
Failure to fulfill. If a valid purchase cannot be honored for reasons not attributable to your failure to meet the disclosed requirements, we will review what was purchased and what was provided. Where the purchased benefit was not provided, we will arrange an appropriate refund or an alternative you agree to accept. A partial refund may be appropriate if only part of a package was not provided. We will not require you to accept points, credit or a replacement event instead of a refund owed under these Terms or applicable law.
Other requests. Spree may approve a full or partial refund, restore points, or offer another resolution where the circumstances warrant it. Approval of one request does not create an entitlement in another case. Venues and promoters cannot promise a refund on Spree's behalf unless authorized.
Processing. Approved cash refunds are normally returned to the original payment method; if that is unavailable, we will work with you and the payment provider on an appropriate alternative. The time for a refund to appear depends on the payment provider and your bank. Service fees are included in cancelled-event refunds and refunds for wholly unfulfilled purchases; for partial or discretionary refunds, we will explain the amount and fee treatment. Spree absorbs the original processing fees for corrective refunds. A refund owed to you is not conditional on Spree first recovering money from a venue or organizer.
Payment disputes. Please contact us if you do not recognize a charge or believe a purchase was mishandled. You do not have to contact us first if doing so would interfere with a lawful payment-dispute right or deadline. We may use purchase, admission and redemption records to investigate a dispute. We may restrict fraud or abuse, but will not penalize you merely for exercising a lawful dispute right. You cannot receive both a refund and a payment reversal for the same amount.
4.7 Table Reservations and Bottle Service Requests
Table offerings are made available through the Services in two forms.
A table Purchasable is a fixed-price item sold at checkout and is governed by Sections 4.1 through 4.6 in the same manner as any other Purchasable.
A bottle service reservation request is a request submitted through the Services for a table at a partner venue. A reservation request is not a purchase. No payment is collected through the Services for a reservation request, and submitting one does not create a binding reservation.
The venue may accept, modify, or decline any request in its sole discretion, based on availability, party size, arrival time, minimum spend, or any other lawful consideration. A reservation is confirmed only when the Services notify you that the venue has accepted it. Upon confirmation, a pass for the reservation is issued to your SpreeTag wallet for presentation at the venue, subject to Section 5. That pass evidences a confirmed reservation only.
It is not a purchase, a payment, or a receipt for any table, beverage, package, or minimum spend, and it does not entitle you to any item or service without payment to the venue.
All amounts owed in connection with a reservation, including any minimum spend, bottle package, table charge, tax, and gratuity, are determined by the venue based on the items and services you actually receive, and are paid directly to the venue at the premises.
Spree does not sell, serve, furnish, or deliver any beverage associated with a reservation, and any amount displayed in the Services in connection with a reservation reflects the venue's stated minimum or package price as provided to Spree, not a final bill.
Any SpreePoints associated with a bottle service reservation are awarded after the venue confirms your closed check, on the timeline described in Section 6.6.
Cancellation, rescheduling, no-show, late arrival, and minimum-spend policies are set by the venue and will be disclosed to you at the time of request. The venue may release a reserved table if your party does not arrive within the window the venue specifies. Admission to the venue and access to a reserved table remain subject to Section 4.4 and to the venue's own policies, including identification checks, dress code, capacity, and responsible service requirements.
5. SpreeTag, QR Codes, and Redemption
Each successfully issued Purchasable, event ticket, confirmed table or bottle service reservation, or SpreePoints reward generates a unique QR code or other validation pass that is stored in your SpreeTag wallet. Each pass is single-use, time-limited, or otherwise restricted as indicated in the Services and is non-transferable except as we expressly permit.
Access instructions for a Spree Live Special check-in pass appear with the applicable special. The pass is valid only while that special remains active. It is subject to the same restrictions on transfer and misuse as any other pass.
You agree not to: (a) sell, resell, barter, transfer, or share any pass except as expressly permitted; (b) duplicate, copy, scan, or screenshot a pass for use by another person; (c) tamper with, reverse-engineer, or modify any pass or QR code; or (d) use any pass in a manner that is fraudulent, deceptive, or in violation of these Terms. We may invalidate or restrict a pass where we reasonably believe it was obtained or used fraudulently, or transferred contrary to its terms. Contact us if you believe this was an error. Refund rights remain subject to Section 4 and applicable law.
6. SpreePoints and Rewards
SpreePoints are a loyalty program credit issued by Spree. SpreePoints:
- Have no cash value and may not be redeemed for cash;
- Are not property and confer no ownership or financial rights;
- Are not gift certificates, gift cards, stored value, or prepaid access;
- Are non-transferable and may not be sold, traded, or assigned;
- May be corrected or revoked for errors, fraud or abuse, and are subject to the program and account-closure rules below.
We may change or discontinue the program. We will give reasonable notice of material changes affecting previously earned points unless an immediate change is necessary to address fraud, security or legal requirements. Changes remain subject to applicable law.
6.1 Rewards
You may redeem SpreePoints for rewards made available in the Services, such as discounts, passes or other promotional benefits. Each offer states the applicable benefit, required points, any payment due, eligibility and redemption conditions. Availability depends on the offer and participating venue or organizer. We may add, change or withdraw offers, subject to the program-change rules in Section 6 and applicable law.
Any alcoholic beverage associated with a reward is sold, furnished and served solely by the applicable licensed venue, subject to applicable law, identification checks, responsible service requirements and the venue's lawful policies. Spree does not sell, serve, furnish or deliver alcohol.
6.2 Limits
Reward limits vary by offer and may apply by user, reward category, individual reward, venue, event or time period. The applicable limits, exclusions and qualifying conditions are stated in the Services or offer terms. No uniform claim frequency, quantity or availability is guaranteed. Changes remain subject to Section 6 and applicable law.
6.3 Expiration
Any expiration date or redemption window for points or a reward is stated in the applicable offer or program terms. A reward cannot be redeemed after its stated expiration. Unless the offer states otherwise or applicable law requires, points used for an expired, unused reward are not restored. We may change expiration rules subject to the notice provisions in Section 6; account-closure rules also apply.
6.4 Account Closure
If you choose to delete your account, you forfeit your unused passes and tickets, including paid passes, and any remaining SpreePoints and rewards. Deletion ends access to your SpreeTag wallet and invalidates those passes. Use your passes before deleting your account, or contact hq@spree-app.com first if you have questions. Deleting your account does not itself entitle you to a refund.
You may contact hq@spree-app.com after deletion to request a review of your circumstances. We may offer a resolution on a case-by-case basis, but reinstatement, replacement, credit or refund is not guaranteed. This policy does not eliminate a refund already owed under Sections 4.5 or 4.6 or any remedy that applicable law does not allow us to exclude.
A suspension may restrict access while an issue is reviewed. We may invalidate items obtained through fraud or misuse, subject to applicable law. Account closure does not remove outstanding payment obligations or prevent retention of transaction records as described in the Privacy Policy.
6.5 Referrals
An eligible new user may be attributed to a referrer through a supported referral code or invitation/share link used during sign-up. When you open a supported link, the Services may associate it with your browser session, app installation or account and carry the referral into sign-up. Device and connection information may also be used to match a recently opened link, as described in the Privacy Policy. Link attribution may be unavailable or inconclusive; follow any code-entry instructions shown in the sign-up flow. We do not upload your address book to attribute referrals, and a code cannot ordinarily be added after account creation.
A referral becomes successful only when the referred user completes the qualifying action stated in the referral offer, such as a qualifying purchase or pass scan. The offer identifies the eligible actions and points available to each person. Creating an account or opening a link does not, by itself, earn points unless the offer expressly says so. Sharing a link does not entitle an ordinary user to a commission on ticket sales. Host or promoter attribution and any separately agreed commissions are governed by the applicable business arrangements.
A mobile telephone number may be referred once. Deleting an account and creating a new one does not make that number eligible again. You may not refer yourself, create or control additional accounts to generate referrals, offer or receive anything of value in exchange for a code, or obtain a code through misrepresentation.
We may withhold, reverse, or revoke SpreePoints awarded through any referral that we reasonably believe to be fraudulent, duplicative, automated, or otherwise in violation of these Terms, and may suspend or terminate the accounts involved. We may change the referral program, including the codes issued, the points awarded, and the qualifying actions, subject to the program-change rules in Section 6.
6.6 When SpreePoints Post
SpreePoints post after the qualifying action in the applicable offer has been completed and verified. Qualifying actions and posting times vary by offer and may depend on confirmation from a venue or organizer. Creating an account, claiming a ticket or making an attempted payment does not itself earn points unless the offer says so. We may correct or reverse points associated with duplicate, cancelled, refunded, disputed, fraudulent or otherwise ineligible activity.
7. Spree Live Specials
A "Spree Live Special" is a limited, capped promotional offer that we coordinate with a partner venue. Eligibility for a Spree Live Special generally requires arrival at the participating venue and a check-in scan at the door before the cap is reached and before the expiration time. Spree Live Specials are honored by the venue in person, using whatever verification method Spree and the venue have put in place for that special.
A Spree Live Special is a discount, not a complimentary item. The venue sets and charges a stated price for any item obtained through a Spree Live Special. That price is disclosed to you before you claim the special and is paid by you directly to the venue at its register.
Spree does not guarantee the availability of any Spree Live Special. Caps fill on a first-come, first-served basis, and admission to the venue remains subject to the venue's policies and our other terms. Any beverage associated with a Spree Live Special is served solely by the licensed venue, subject to Section 3.2 and Section 6.1.
8. Text Messages and Communications
By providing your phone number and creating an account, you consent to receive text messages from Spree necessary to operate the Services, including one-time passcodes for authentication and transactional or service-related messages. Consent to receive promotional or marketing text messages, if offered, is separate and optional, and is not a condition of any purchase. Message frequency varies. Message and data rates may apply.
You can opt out of non-essential text messages at any time by replying STOP, and reply HELP for help. Mobile information and text messaging opt-in data are handled as described in our Privacy Policy and are not shared with third parties or affiliates for marketing or promotional purposes.
8.1 Changing or Transferring Your Phone Number
If you stop using, cancel, sell, or transfer the mobile telephone number associated with your account, you agree to update your account information or opt out of text messages before doing so. Keeping your number current helps prevent messages and sign-in codes from reaching someone else.
Notify us promptly if you lose access to your number and cannot update it yourself. This obligation does not transfer Spree's responsibility for complying with messaging laws to you.
8.2 Electronic Communications and Records
You consent to receive communications from us electronically, including by email, text message, push notification, and postings within the Services. Electronic notices, agreements and receipts may satisfy requirements for written records where applicable law permits. We will obtain any additional consent required for electronic delivery of a particular record.
To access and retain electronic communications, you will need a device with internet access, a current web browser or email application, and either a printer or storage space on that device. You agree to keep the email address and phone number associated with your account current, so that important notices can reach you. Legally required notice and consent procedures still apply.
You may withdraw your consent to receive communications electronically, or request a paper copy of any electronic record, by contacting us at hq@spree-app.com. Because the Services are provided entirely electronically, withdrawing consent means you can no longer use the Services, and we may close your account. Withdrawing consent does not affect the validity of any communication provided before we act on your request.
8.3 Push Notifications
Spree asks whether you want notifications and explains their purpose, including updates about events, drops, specials and offers. Push delivery depends on your choice, device permission and applicable in-app preferences. You can manage notification categories and group notifications in the Services or disable notifications in device settings. Promotional messages are subject to any consent required by applicable law. Notifications may be delayed or not delivered; check the app for important ticket, plan and account information.
9. User Content
User Content includes profile details and photos, group names and covers, plan details and private-place information, chat messages and photos, available event comments, reports, and communications you submit. You retain ownership of your content. You grant Spree a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format and display it, and to allow service providers to do so, only as needed to provide, secure and moderate the Services, resolve disputes and meet legal obligations. This does not authorize us to use private chat messages or shared plan locations in advertising.
You must own or have permission to share the content, including another person's image, address or other private information. You may not post unlawful, sexually explicit, exploitative, threatening, hateful, discriminatory, harassing, deceptive or infringing content, spam, impersonation, or another person's sensitive information without authority. Do not use plans, invitations, messages or location features for stalking, coercion, unwanted surveillance or abuse.
Use available reporting and blocking controls, or contact hq@spree-app.com, to report abusive users or objectionable content. We review reports and may remove content, restrict features, suspend or terminate accounts, and retain relevant evidence as described in the Privacy Policy. We do not review all content before it appears. The presence of content on Spree does not mean we approve it.
Visibility depends on the feature and your settings. Profiles and event guestlists may be visible to eligible signed-in users; private group plans and chats are available to eligible group members. Newly joined members may see earlier plan chat. Invited users may see the limited group preview described in Section 3.3. Chat is not end-to-end encrypted, and authorized Spree personnel may access relevant content for moderation, support, security or legal purposes.
Chat does not currently offer a general edit or unsend function. Leaving a group or ending a plan does not automatically erase its history. When your account is deleted, your chat text and uploaded chat photos are removed from active chats. Limited moderation evidence, system records and other information may remain under the Privacy Policy. Privacy and deletion requests remain available. Removal or deletion does not erase screenshots, downloaded copies or information others already received. The operational license lasts only as needed for the purposes above, including maintaining permitted shared history and retained evidence.
Your nights-out profile history is visible by default to other eligible signed-in users who can view your profile, subject to your settings and blocks. You can limit it to mutual followers or hide it. It reflects public venues or events in past plans you joined and marked yourself In for; it does not verify that you attended or scanned a ticket. Private/custom places and private group details are not included. Your personal ticket history is a separate feature. The Privacy Policy explains these audiences and controls.
10. Copyright and DMCA Policy
We respond to copyright complaints and maintain a policy to terminate repeat infringers in appropriate circumstances. If you believe material on Spree infringes your copyright, send a notice identifying the copyrighted work and the allegedly infringing material, with enough information for us to locate it. Include your name and contact details, your physical or electronic signature, a statement of good-faith belief that the use is not authorized by the owner, its agent or the law, and a statement that your notice is accurate and, under penalty of perjury, that you are authorized to act for the owner.
If your content is removed because of a copyright notice and you believe that was a mistake, you may send a counter-notice. Include your physical or electronic signature; identification and former location of the removed material; your name, address and telephone number; and a statement under penalty of perjury that you believe the removal resulted from mistake or misidentification. Also state that you consent to the jurisdiction of the federal district court for your address, or the District of Arizona if you are outside the United States, and that you will accept service of process from the original complainant or their agent.

We may share notices and counter-notices, including relevant contact information, with the affected parties. We will process compliant notices and counter-notices under the DMCA, including forwarding a counter-notice and restoring material within the applicable 10 to 14 business-day period unless we receive notice of a qualifying court action. Material may remain restricted on separate grounds under these Terms. Knowingly making a material misrepresentation may result in liability under applicable law.
11. Venue and Event Disclaimer
Independent venues and organizers are responsible for their own events, premises, personnel, offerings and legal compliance. Listings, hours, line estimates, occupancy information and other discovery information can be inaccurate or change. A Spree Verified designation identifies a participating relationship and is not a safety certification.
For an event expressly identified as a Spree Event, Spree is responsible for its own organizing activities. A participating venue remains responsible for its premises, venue operations and alcohol service. Neither this Section nor another venue disclaimer excludes responsibility for Spree's own acts or omissions where that responsibility cannot lawfully be excluded. Purchase problems and refunds are governed by Sections 4.5 and 4.6.
12. Assumption of Risk
Nightlife and in-person gatherings involve risks, including crowds, loud noise, low lighting, alcohol consumption, accidents and interactions with other people. Use your own judgment, follow venue rules, arrange safe transportation and seek emergency assistance when needed.
Spree does not verify the safety of private places added by users or supervise private plans. You choose whether to attend a gathering and with whom to share information. Location sharing may be delayed or inaccurate and is not an emergency or personal-safety service.
To the extent permitted by law, you accept the ordinary risks inherent in activities you voluntarily choose to attend. This acknowledgment does not waive claims arising from Spree's gross negligence or willful misconduct, or any other rights that applicable law does not allow you to waive.
13. Photography, Recording, and Likeness Release
Spree or photographers working for it may photograph or record events and promotional activities that Spree organizes or operates. Where photography is planned, we may give notice in the event information, at the entrance or on site. An event appearing in the app does not, by itself, give Spree permission to use your likeness.
Where disclosed in an event notice and permitted by law, event photographs and recordings may be used to document the activity and promote Spree or future events, including in recaps, websites and social media. This does not authorize misleading edits or imply that an attendee personally endorses Spree, a sponsor or an alcoholic beverage. We will seek a separate release when featuring an identifiable person as an advertising subject or endorser, rather than as part of general event coverage.
Tell the photographer or event staff if you do not want to be featured. You may also contact hq@spree-app.com with enough detail to identify an image. We will consider requests to avoid featuring you or remove identifiable images from channels we control. We cannot guarantee removal from crowd scenes, materials already distributed or copies held by others. Independent venues and organizers are responsible for their own photography practices and notices. This Section does not grant advertising rights over photos uploaded to private groups or chats; Section 9 governs those uploads.
14. Prohibited Conduct
You agree not to, and not to attempt to:
- Violate any applicable law, regulation, or third-party right;
- Misrepresent your age, identity, or affiliation;
- Resell, transfer, or commercially exploit any Purchasable, pass, reward, or content except as expressly permitted;
- Reverse engineer, decompile, disassemble, scrape, crawl, or otherwise extract code, data, or content from the Services, except to the extent expressly permitted by applicable law;
- Use any automated means, including bots, scrapers, or crawlers, to access or interact with the Services;
- Interfere with, disrupt, or impose an unreasonable load on the Services, our infrastructure, or any partner venue's operations;
- Attempt to gain unauthorized access to any account, system, or data;
- Harass, threaten, defraud, or impersonate any other user, venue, staff member, or Spree personnel;
- Use the Services in connection with any activity that violates applicable alcohol, gaming, or controlled substance laws;
- Obtain, claim, or redeem any reward, pass, or promotional benefit through fraud, manipulation, or abuse of the SpreePoints or referral programs;
- Submit false, misleading, or fraudulent information in any User Content or account record.
Violation of this Section may result in content removal, suspension or termination, action against improperly obtained points or passes, and referral to law enforcement where appropriate. Outstanding purchases and refund rights remain subject to Sections 4 and 6.4.
15. Intellectual Property
The Services, including all software, code, designs, graphics, logos, marks, text, sound, video, data, and other content (other than User Content), are owned by Spree or its licensors and are protected by United States and international intellectual property laws. "Spree," the Spree logo, "SpreeTag," "SpreePoints," "Spree Live Special," and related names and marks are trademarks of Spree.
Subject to your compliance with these Terms, Spree grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal use and, if you have an authorized business or staff role, for the permitted activities of that role. No other rights are granted by implication or otherwise. All rights not expressly granted are reserved.
15.1 Feedback
If you voluntarily submit suggestions or ideas about improving Spree, you give us permission to use and develop them without payment, attribution or an obligation of confidentiality. You retain ownership of any rights you otherwise have in your submission. This permission does not override our Privacy Policy, transfer ownership of your private messages or photographs, or authorize disclosure of personal information in a support request.
16. Third-Party Services and Platforms
The Services may rely on or integrate with third-party services, including the Apple App Store, Google Play, Stripe, Mapbox, Amazon Web Services, and others. Your use of any third-party service is governed by that provider's terms and privacy practices. Spree is not responsible for third-party services or content.
16.1 General Acknowledgment
If you download or access the Spree app through the Apple App Store or Google Play (each, an "App Provider"), you acknowledge that these Terms are between you and Spree only, and not with any App Provider, and that Spree, not the App Provider, is solely responsible for the Services and their content.
16.2 Additional Terms for Apple App Store Users
The following additional terms apply if you access the Spree app through the Apple App Store. In the event of a conflict between this Section and any other provision of these Terms, this Section controls as to your use of the app obtained from the Apple App Store.
- Scope of license. The license granted to you in Section 15 is limited to a non-transferable license to use the Spree app on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
- Maintenance and support. Spree is solely responsible for providing any maintenance and support services for the app. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the app. You may contact Spree at hq@spree-app.com for support.
- Warranty. Spree is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you, if any.
To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Spree's sole responsibility.
- Product claims. Spree, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession or use of the app, including: (a) product liability claims; (b) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation, including in connection with the app's use of the HealthKit and HomeKit frameworks, if applicable.
- Intellectual property claims. In the event of any third-party claim that the app or your possession and use of the app infringes that third party's intellectual property rights, Spree, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
- Legal compliance. You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
16.3 Additional Terms for Google Play Users
The following additional terms apply if you access the Spree app through Google Play. Your use of the app is subject to the Google Play Terms of Service. You acknowledge that Google is not a party to these Terms, has no responsibility or liability for the app or these Terms, and that Spree, not Google, is solely responsible for the app, its content, and any maintenance, support, or claims relating to it.
16.4 Export Compliance
You represent and warrant that you will not use, export, re-export, or transfer the Spree app or any related technology in violation of U.S. export control or sanctions laws and regulations, including the Export Administration Regulations and the regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control.
17. Force Majeure
We are not responsible for delay or failure to perform caused by circumstances beyond our reasonable control, such as severe weather, natural disaster, government orders or widespread infrastructure outages. We will take reasonable steps to address the effect on our Services. This Section does not remove a refund obligation under Sections 4.5 or 4.6 or any obligation that applicable law does not permit us to exclude.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. SPREE AND ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT ANY VENUE OR EVENT INFORMATION IS ACCURATE OR COMPLETE.
Maps, distances, location updates and discovery information may be incomplete, delayed or inaccurate. A displayed location or plan status is not proof of attendance, admission or anyone's safety. Venue and event availability can change.
Nothing in these disclaimers eliminates an express refund obligation under Sections 4.5 and 4.6 or a right or liability that applicable law does not permit us to exclude.
Estimated wait times displayed in the Services are provided by the applicable venue and reflect its assessment when entered. They may become inaccurate and do not guarantee the actual wait or admission.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPREE OR ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SPREE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
These exclusions and the cap do not limit refunds owed under Sections 4.5 and 4.6, liability arising from Spree's gross negligence, willful misconduct or fraud, or any liability or remedy that applicable law does not permit us to limit. Some jurisdictions restrict these limitations; in those jurisdictions they apply only to the extent permitted by law.
20. Dispute Resolution; Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. Unless you opt out as described below, you and Spree agree to resolve covered disputes through individual arbitration rather than a court trial, subject to the exceptions in this Section.
20.1 Informal Resolution
Before starting arbitration, either party should send the other a written description of the dispute and requested resolution. Send your notice to hq@spree-app.com; we will use the contact information associated with your account. Include your name and enough information to identify your account or transaction. The parties will try in good faith to resolve the dispute for 30 days after receipt. This process does not delay urgent relief, small claims proceedings, payment-dispute deadlines or a filing needed to preserve a claim. Applicable filing deadlines are tolled during this informal period to the extent permitted by law.
20.2 Binding Arbitration
Except as provided below, disputes arising from these Terms or the Services that you and Spree cannot resolve informally will be decided by a neutral arbitrator administered by JAMS under its applicable rules and Consumer Minimum Standards, available at https://www.jamsadr.com, with consumer standards at https://www.jamsadr.com/consumer-minimum-standards. For consumer disputes, the applicable JAMS Streamlined or Comprehensive Arbitration Rules apply together with those standards. For business disputes, applicable JAMS rules and any separate signed business agreement govern. The Federal Arbitration Act governs this arbitration agreement. Consumer protections in those standards control over conflicting language in these Terms. Each party may participate in selecting the arbitrator, exchange relevant nonprivileged information and be represented by counsel. The arbitrator will issue a written decision explaining the award and may grant the individual remedies available under applicable law. A court may enter judgment on the award.
20.3 Hearings and Location
For consumer disputes, your required share of JAMS administrative and arbitrator fees will not exceed $250, or a lower amount required by JAMS or law. Spree will pay the remaining such fees and all such fees when it initiates a consumer arbitration. Each party otherwise pays its own legal fees except where applicable law permits an award; nothing here shifts Spree's required arbitration costs to you. Hearings may take place remotely or at a reasonably convenient location under the applicable rules. The location must not prevent your access to arbitration.
20.4 Class Arbitration Waiver
To the extent permitted by law, covered claims will be arbitrated individually, not as a class or representative proceeding. This does not prevent relief that applicable law makes non-waivable. Claims for public injunctive relief that cannot lawfully be required to proceed in individual arbitration may be brought in court.
20.5 Mass Filings
Administrative coordination of related demands may occur under applicable JAMS rules. Consolidation for a merits decision requires the affected parties' consent unless applicable law requires otherwise.
20.6 Exceptions
Either party may bring an eligible individual claim in small claims court. Either party may seek urgent temporary relief from a court to prevent immediate harm while the appropriate forum resolves the merits. Claims that applicable law does not permit to be arbitrated remain in court. Nothing restricts contacting a regulator or government agency.
20.7 Opt-Out
You may opt out of this arbitration agreement, including its individual-proceeding requirement and its effect on jury trials described in Sections 21 and 22 by emailing hq@spree-app.com within 30 days after first accepting this revised arbitration agreement. Include your name, account phone number or email, and a clear statement that you opt out. No special form or explanation is required. A valid earlier opt-out remains effective. Opting out does not affect your ability to use Spree.
20.8 Severability
A court will decide disputes about the formation or enforceability of this arbitration agreement, including its waivers. If a provision is unenforceable, it will be severed where possible without depriving either party of a non-waivable right. If a claim cannot lawfully proceed in individual arbitration, it may proceed in court. The remaining provisions apply only to the extent consistent with that determination.
21. Class Action Waiver
For claims subject to arbitration, the individual-proceeding rule in Section 20.4 applies. These Terms do not impose a separate class-action waiver on a person who validly opts out, or on a claim that cannot lawfully be required to proceed individually.
22. Jury Trial Waiver
Arbitration does not involve a judge or jury. By agreeing to arbitrate, you and Spree waive a jury trial for claims resolved in arbitration. These Terms do not impose a separate jury-trial waiver on claims properly brought in court.
23. Governing Law and Venue
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law principles. Subject to Section 20's small claims exception and any mandatory rights to bring a claim elsewhere, claims not resolved in arbitration may be brought in the state or federal courts in Maricopa County, Arizona, and you and Spree consent to those courts. This choice of law does not deprive a consumer of protections that applicable law makes mandatory.
24. Indemnification
To the extent permitted by law, you agree to indemnify Spree and its officers, members, employees and agents against reasonable losses and expenses arising from a third-party claim caused by your unlawful conduct, material breach of these Terms, or content that infringes that third party's rights. This does not apply to the extent a claim is caused by Spree's own negligence, misconduct or breach of duty, and does not make you responsible merely for using the Services or bringing a good-faith claim against Spree.
We will give reasonably prompt notice of a claim and an opportunity to participate in its defense. We will not agree to a settlement imposing payment or another obligation on you without your consent, which must not be unreasonably withheld. Separate business agreements may impose additional obligations on venues or organizers.
25. Termination
We may restrict, suspend or terminate access for a material violation of these Terms, fraud, abuse, a security or safety risk, legal requirements or discontinuation of the Services. We may act immediately when necessary to protect people or the Services. Where appropriate and permitted, we will explain the action and allow you to contact hq@spree-app.com for review.
You may stop using Spree or request account deletion through account settings at any time. The phone number associated with a deleted account is subject to the 90-day re-registration restriction described in the Privacy Policy. Outstanding purchases, points and refunds are handled under Sections 4 and 6.4.
Provisions needed to resolve outstanding transactions, handle lawfully retained content, protect intellectual property or resolve disputes continue after termination to the extent relevant. Termination does not extend a content license beyond its stated purposes or remove rights that survive under applicable law.
26. Changes to These Terms
We may update these Terms as the Services or legal requirements change. We will identify the effective date and give reasonable notice of material changes through the Services or another appropriate channel. Where required, we will ask you to accept the revised Terms before continuing to use the affected Services. Otherwise, continued use after the notified effective date constitutes acceptance to the extent permitted by law. Changes do not retroactively alter an existing purchase's refund terms or eliminate an accrued claim. We will obtain separate consent where required for a particular activity.
27. Miscellaneous
- Entire Agreement. These Terms, the offer terms disclosed for your purchase, and any applicable separate signed agreement govern the relevant Services. The Privacy Policy explains our information practices. These Terms do not supersede a separate signed business agreement or override rights required by law.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- No Waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, reorganization or sale of the relevant business, subject to applicable law and without reducing obligations owed to you.
- Notices. We may provide notices to you through the Services or to the email address associated with your account. You may contact us at hq@spree-app.com.
- Relationship of the Parties. Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchise relationship between you and Spree, or between Spree and any venue, host, or promoter, except for the limited authority to collect payment on a venue's behalf for any alcoholic beverage component of a Purchasable, as described in Section 4.1.
- Headings. Headings are for convenience only and do not affect interpretation.
